Terms of Service

By accessing or using ZaphWork ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. You must be at least 18 years old to use ZaphWork. By using the Platform, you represent that you are at least 18 years old and have the legal capacity to enter into these terms.

ZaphWork provides a marketplace connecting clients who need work done with independent contractors who can complete that work. The Platform offers three types of work arrangements: • Tasks: One-time microtasks with fixed payment • Gigs: Services offered by contractors at set prices • Remote Work: Long-term independent contractor agreements with weekly payments ZaphWork is not a party to any agreement between clients and contractors. We provide the platform and escrow services but do not guarantee the quality of work or the conduct of users.

All payments on ZaphWork are processed through smart contract escrow on the Solana blockchain. Platform Fees: • Tasks and Gigs: 10% of the payment amount • Remote Work: 5% of the payment amount Payment Flow: 1. Client funds escrow before work begins 2. Contractor completes the work 3. Client approves the work 4. Payment is released instantly to contractor (minus platform fee) Auto-Approval: If a client does not respond within 4 days of work submission, the work is automatically approved and payment is released. Refunds: Clients may receive refunds if work is not completed by the deadline or if a dispute is resolved in their favor.

Either party may raise a dispute within 72 hours of work rejection. Both parties will have the opportunity to submit evidence. ZaphWork will review disputes and make a binding decision within 48 hours. Decisions may include: • Full payment to worker • Full refund to client • Split payment between parties Each party may appeal a dispute decision once. The appeal decision is final. ZaphWork's dispute resolution is provided as a service and does not constitute legal arbitration.

ZaphWork offers the Zaph Partner Program where users can earn commissions by referring new users. IMPORTANT: Zaph Partner Program terms, including commission rates and tier thresholds, may change at any time without prior notice. By participating in the Zaph Partner Program, you acknowledge and accept this condition. Current referral commission rates range up to 50% of platform fees for client referrals, and 2% to 10% for freelancer referrals. These rates are subject to change. Minimum claim amount: $0.10 USD equivalent in USDC.

You agree not to: • Use the Platform for any illegal purpose • Post fraudulent, misleading, or deceptive content • Attempt to circumvent platform fees by arranging off-platform payments • Share your account credentials with others • Create multiple accounts to abuse platform features • Harass, threaten, or abuse other users • Post content that infringes intellectual property rights • Attempt to manipulate ratings or reviews • Use automated tools to access the Platform without permission Violation of these terms may result in account suspension or termination.

Work Product: Unless otherwise agreed, contractors retain intellectual property rights to their work until payment is released. Upon payment release, intellectual property rights transfer to the client. Platform Content: ZaphWork and its logos, designs, and content are protected by intellectual property laws. You may not use our branding without permission.

ZaphWork is provided "as is" without warranties of any kind. We do not guarantee: • The quality of work performed by users • The conduct or reliability of users • Uninterrupted access to the Platform • The accuracy of user-provided information To the maximum extent permitted by law, ZaphWork shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees you paid to ZaphWork in the 12 months preceding the claim.

ZaphWork collects and analyzes data to improve the platform and provide enhanced services. Data Collection: • Behavioral data: Response times, session patterns, proposal velocity • Transactional data: Payment history, completion rates, dispute history • Wallet data: Wallet age, transaction volume (on-chain data only) • Communication metadata: Message timestamps and lengths (never message content) ZaphScore Credit Scoring: ZaphWork calculates a reliability score ("ZaphScore") based on your platform activity. This score may be: • Displayed on your profile (with your consent) • Used to match you with suitable opportunities • Shared with potential fintech partners (only with explicit opt-in consent) Your ZaphScore is calculated from: payment consistency (40%), response time (20%), completion rate (20%), dispute ratio (10%), and wallet health (10%). Data Sharing: With your explicit consent, anonymized data may be shared with: • Fintech partners for credit assessment • Research institutions for academic studies • AI training data providers (fully anonymized) You can control your data preferences in Settings > Privacy. You may opt out of credit scoring and partner sharing at any time.

We may modify these Terms of Service at any time. We will notify users of material changes via email or platform notification. Continued use of the Platform after changes constitutes acceptance of the new terms. If you do not agree to the changes, you must stop using the Platform.
